1. Who this agreement is with
These terms form the agreement between you and VersaVantage LLC, registered at 1309 Coffeen Avenue, STE 17547, Sheridan, WY 82801, United States, trading as WebServ ("we", "us"), for the use of Jarvis SEO Engine ("Jarvis").
They apply when you connect a Google account or a website to Jarvis, or otherwise use Jarvis. By doing so you confirm that you have read them, that you are at least eighteen years old, and that you have authority to accept them on behalf of any company you represent.
2. What Jarvis is
Jarvis is a private search engine optimisation tool. It reads search performance and traffic reports for websites we own or manage, analyses them and prepares recommendations for those websites.
Jarvis has no public sign-up. Access is given by us, by invitation, to the people who operate or own the connected websites. Its control panel and interfaces are private and are not offered to the public.
3. Connecting a Google account
- You may connect only Search Console properties and Google Analytics properties that you are entitled to share with us.
- When you connect, you grant Jarvis read-only access as described in the privacy policy. Jarvis cannot change anything in your Google account, Search Console or Google Analytics.
- You can remove Jarvis's access at any time on your Google Account permissions page, or by asking us to disconnect the website.
4. Recommendations
Jarvis's recommendations are suggestions based on the data available at the time. Search results depend on many factors outside our control, so we do not promise any ranking, traffic or revenue result.
Nothing is published or changed on a website automatically. Each recommendation is reviewed by a person, and the decision to act on it rests with the website's owner.
5. Acceptable use
You agree not to:
- use Jarvis for anything unlawful, or to process data you have no right to share;
- try to gain access to parts of Jarvis, or to data, that you have not been given access to;
- disrupt or overload Jarvis or the systems it runs on;
- copy, resell or reverse engineer Jarvis.
6. Google services
Jarvis uses Google APIs. Your use of Google Search Console and Google Analytics remains subject to Google's own terms and policies. Google may change or withdraw these APIs, which can limit what Jarvis can do.
Google, Google Search Console and Google Analytics are trademarks of Google LLC. Jarvis is not affiliated with or endorsed by Google.
7. Data protection
How Jarvis accesses, uses, stores and shares data is described in the privacy policy, which forms part of these terms.
8. Availability and changes
Jarvis is provided as it is. We do not warrant that it will be uninterrupted or error-free. We may change, suspend or discontinue Jarvis or any part of it. Where a change affects how Jarvis uses Google data, we update the privacy policy first.
9. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.
Subject to that, our total liability to you in any twelve-month period is limited to the amount you paid us for Jarvis in that period. We are not liable for loss of profit, loss of business, loss of rankings or traffic, loss of data, or any indirect or consequential loss.
10. Ending access
You may stop using Jarvis at any time by removing its access in your Google account or by asking us to disconnect your website. We may end or suspend access at any time, in particular where these terms are breached or where we are required to by law. What happens to the data afterwards is described in section 7 of the privacy policy.
11. Changes to these terms
We may update these terms. The date at the top of this page always shows the current version. Where a change materially affects your rights, we tell the people who have connected a website before it takes effect. If you do not accept a change, stop using Jarvis and remove its access.
12. Governing law
These terms are governed by the law of the State of Wyoming, United States, and the courts of the State of Wyoming, United States have exclusive jurisdiction. If you are a consumer resident elsewhere, this does not remove any protection you have under the mandatory law of your country of residence.
